Florida Co-Op Mortgage Lenders
Florida cooperative, better known as a co-op, is a situation in which a single corporate entity owns an apartment building or similar multi-unit residential property. The Florida shareholders of the corporation are granted a lease by the corporation, which gives them proprietary ownership of a specific unit within the co-op unit apartment building. Florida co-op lenders provide what is sometimes called a share loan. A share loan designed for the Florida coop buyer to purchase shares in a corporation that then entitles them to a lease agreement and residence in one of the Florida coop housing units.
Florida Co-op Lease Agreement
A Florida lease agreement for each housing cooperative is different, but they generally lay out the length of habitation and other benefits that Florida co-op stockholders are entitled to as well as details regarding additional fees that the Florida cooperative residents are responsible for. Benefits may include the use of Florida coop community spaces, while fees usually include taxes and related operational and maintenance expenses.
Florida Co-op lease agreements and associated fees are determined by the cooperative board. This is essentially a group of shareholders that make policy decisions similar to a board of directors for a typical corporation. They approve everything from stock sales to esthetic requirements.
Challenges With Florida Co-Op Mortgage Lenders
The majority of Florida real estate loans are provided to allow the borrower to buy a property in its entirety. A Florida Co-op loan is different from any other type of loan in that the Florida mortgage applicant is not purchasing any portion of a physical property. A Florida Co-Op loan allows Florida mortgage applicants to purchase a stock certificate in a corporation that owns a Florida co op building. The result may be the same as if the Florida co-op mortgage applicants bought a condominium outright; they live in a specific unit of a larger building, but the journey is very different.
Florida COOP Acknowledgement of Cooperative Association Agreement
The undersigned Florida Cooperative Association (the “Association”) hereby accepts notice of and consents to the grant (“Borrower”) to you of security interests in any capital stock, membership certificate, proprietary lease, occupancy agreement, membership agreement or any other instrument of Borrower with the Association evidencing Co-Op of an interest in apartment l o c a t e d a t (“coop Apartment”) of the Association (collectively, the “Co-Op Documents”), to secure a loan (the “Loan”) by you to Borrower. The grant of such security interests is permitted by the terms of the By-Laws and other governing documents of the Association. Further, the Association acknowledges that the fee simple [leasehold] interest of the land and improvements of which the Apartment is a part is subject only to the following Mortgage loans or deeds of trust:
According to the records of the Association, (i) Borrower is approved as the occupant and owner of an interest in the Florida Corporation pursuant to the Florida Co-Op Documents, (ii) all assessments, rents and other amounts due and payable by Borrower to the Florida Co-Op Association have been paid through and (iii) there are no existing defaults under the Co-Op Documents to the knowledge of the Association. The Association will use its best efforts to copy the mortgagee promptly on any written notice of any default (whether a payment or a non-payment default) under the Co-Op Documents, and the Association will not take any remedial action on account of any such default for a period of 30 days after such notice or for any longer period provided by the Co-Op Documents for Borrower to cure the default, during which period you may (but without obligation) cure the default, if the default may be cured by the mortgagee.
The Florida COOP Association will not consent to any action by Borrower with respect to the Co-Op Documents which would affect your lien rights therein as Florida COOP Mortgage Lenders, and the Association will recognize the lien and other security rights provided by your security documents except that is agreeing to subordinate its lien to the Association’s. If the Florida COOP Association at any time elects to terminate any of the Florida Co-Op Documents, it will recognize your right to receive the net proceeds of any sale or subletting of the Apartment to the extent of your mortgage lien. If, by reason of default or otherwise, you succeed, or your nominee succeeds, to Florida COOP mortgage applicants interest in the Co-Op Documents, the Association will recognize the interest of you or your nominee to own the shares in the corporation. However, future occupancy will be subject to obtaining all approvals required by the Co-Op Documents and Association By-Laws. F u r t h e r , the Association is only required to consent to any subsequent sale and transfer of the Co-Op Documents with a contemporaneous satisfaction of all obligations of Florida COOP mortgage applicants to the Association. The Association will not exercise any rights it may have to acquire and/or sell the Co-Op by payment of a price less than the lower of the market value of the interests represented by the Co-Op Documents or the unpaid balance of Florida COOP mortgage applicants indebtedness to you on the Loan.recognizes that the lien of the Association for unpaid dues and assessments h a s priority over the security interests of This letter is being executed by authority of the Board of Directors and By-Laws of the Association. In the event of any conflict between the terms of this Acknowledgement and the By-Laws or other governing documents of the Association, the terms of this Acknowledgement shall prevail. This Acknowledgment may be executed in any number of counterparts, including facsimile counterparts, with the same effect as if all signing parties had signed the same document.
Florida COOP Mortgage Lenders Risk
With a traditional Florida mortgage lender is essentially using the physical property as collateral for the loan. In the event that the borrower defaults, the Florida mortgage lender begins foreclosure proceedings and eventually comes to terms with the borrower or gains possession of the home. If they gain possession of the home, they then attempt to sell the home to recoup the value of the original Florida mortgage loan. Anytime a mortgage deviates from this progression it adds a level of cost and complication that most Florida mortgage lender simply find unprofitable in the long run.
The first way in which a co-op deviates from a traditional Florida mortgage lender is that the lender has a lien against both the stock certificate for the Florida corporation and on the lease agreement. This makes foreclosure proceedings extremely complicated. More concerning for the Florida mortgage lender is that they are technically “second place” on liens relative to the co-op board. If the The Florida co-op borrower stops making Florida mortgage lender payments and stops paying Florida co-op fees, the cooperative board takes legal precedent in any foreclosure proceedings. The second issue is that even if a Florida mortgage lender does manage to foreclose on a co-op loan and take possession of the stock certificate they cannot resell the certificate without the help of the Florida cooperative board.
The main reason Florida co-op mortgage lender are scarce, however, is that Florida co-ops themselves are not very common. Most cooperatives are in high-density population centers on the west and east coast. Even though, a relatively small percentage of the eligible Florida co op real estate is owned by a housing cooperative.
